LEADELL assisted UAB “ACHEMOS GRUPE” in receiving a permission from The Competition Council of the Republic of Latvia
On 3 May, The Competition Council of the Republic of Latvia (the CC) made a decision to allow the owners of SIA AGROCHEMA LATVIA and SIA GASCHEMA – the UAB koncernas “ACHEMOS GRUPE’’, that is registered in Lithuania, to purchase assets of Lithuanian company UAB “LITAGRA”. The CC`s made the decision according to LEADELL`s legal opinion which shows that the merging transaction will not impact competition on any of the markets.
UAB koncernas “ACHEMOS GRUPE’’ will purchase trade business and grain storage services company of UAB “LITAGRA” group. The operation of SIA “AGROCHEMA LATVIA” is focused on fertilizer wholesale, but SIA “LITAGRA” – on plant protection retail trading. These companies that are registered in Latvia will continue to run separately.
”During drafting of the legal opinion it was recognized that this merging will affect four markets – fertilizer wholesale, fertilizer retail trading, grains wholesale and plant protection product retail trading. The structure of the market will not change essentially because of the merging, it will not harm the competition (in any of the markets) and there will be no dominant position in any of affected markets. Therefore, the planned business transaction is permissible,’’ explains the managing partner Kārlis Vītols of the law office LEADELL Fogels, Vītols & Paipa.
